Terms of Service

Please read these terms carefully before using the Geomarine - Intelligence Solutions platform

In case of any discrepancy, the English version of this document prevails.

1. Acceptance of Terms

By using the Geomarine - Intelligence Solutions platform ("Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you must not use the Platform.

These terms apply to all users including ship owners, fleet managers, suppliers, maritime service providers, and any visitor to the Platform.

The Platform is operated by Geomarine Intelligence Solutions FZCO, registered in IFZA, Dubai, United Arab Emirates (Trade Licence No. 89175), with registered office at IFZA Business Park, DDP, PO Box 342001, Dubai Silicon Oasis, Dubai, UAE, trading as "Geomarine - Intelligence Solutions".

2. Platform Usage

Geomarine - Intelligence Solutions operates as a digital marketplace connecting ship owners with maritime suppliers. As a user, you agree to:

  • Use the Platform only for legitimate maritime business purposes
  • Provide accurate, truthful, and complete information at all times
  • Not use the Platform for any illegal or fraudulent activities
  • Not attempt to circumvent the commission or fee system
  • Maintain the confidentiality of your access credentials
  • Not copy, scrape, or transfer Platform data without authorization

3. Account Registration

To use the Platform services, you must create an account. By registering, you represent and warrant that:

Eligibility

You must be at least 18 years old and authorized to represent your company. The company must be legally registered and hold necessary licenses to operate in the maritime sector.

Information Accuracy

All information provided during registration must be accurate and current. You are responsible for updating your information when any changes occur.

Account Security

You are responsible for maintaining the confidentiality of your password and for all activities under your account. You must immediately notify us of any unauthorized use.

Single Account

No individual or company may maintain more than one active account on the Platform without prior approval.

4. Subscriptions & Payment

The Platform offers various subscription plans for suppliers. All subscriptions are subject to the following terms:

  • Subscription fees are calculated on a monthly or annual basis according to the selected plan
  • Subscriptions renew automatically unless cancelled before the renewal date
  • Payments are processed securely through authorized payment gateways
  • Payment must be completed to activate or renew a subscription
  • The Platform reserves the right to modify subscription prices with 30 days prior notice
  • Ship owners can register and use the Platform for free to create supply requests

5. Platform Fees

The Platform charges service fees (commission) on completed transactions. Fee details are as follows:

  • Commission is calculated as a percentage of each completed transaction value through the Platform
  • Standard commission rates by subscription plan: Basic 10%, Premium 5%, Enterprise 3% (on the gross transaction value, excluding taxes)
  • The Platform's revenue comes from supplier subscription fees, commission, and advertising fees. Ship owners are not charged any fees
  • Commission is automatically deducted or separately invoiced according to account settings
  • Any attempt to complete a Platform-introduced transaction outside the Platform to avoid fees is a breach; the full lost commission plus a 50% penalty becomes due (non-circumvention)
  • The Platform reserves the right to modify the fee structure with 30 days prior notice

Payment & Default

  • Commission invoices are due within 30 days of the invoice date (NET 30)
  • Overdue amounts accrue interest at 2% per month
  • The Platform may freeze the account and block new orders 45 days after the due date
  • The Platform may terminate for cause after 60 days overdue and pursue the full debt plus collection and legal costs
  • The Platform may set off overdue amounts against any balance or credit it holds for the supplier

6. Quotes & Orders

Ship Owner Responsibilities

  • Provide accurate and complete specifications in supply requests including quantities and required quality
  • Accurately specify the delivery port and required dates
  • Review and respond to quotations in a timely manner
  • Honor accepted quotes and confirmed orders

Supplier Responsibilities

  • Submit accurate and competitive quotations reflecting actual costs
  • Honor prices and specifications stated in accepted quotations
  • Deliver at the agreed time and location
  • Ensure quality of products and services according to maritime standards
  • Promptly report any delays or execution issues

Important Note: The Platform acts as an intermediary between ship owners and suppliers. The Platform is not responsible for the quality of goods or services provided by suppliers, nor for any disputes arising between contracting parties.

Direct Payment: The Platform does not process, hold or transmit any payments between ship owners and suppliers. All payments for goods and services are made directly between the two parties; the Platform is not a payment service provider (PSP) for those transactions.

Blind Bidding: The Platform operates a blind-bidding model: the vessel's identity and commercial details are hidden from suppliers during bidding and are disclosed only after the supplier's quote is accepted and the order confirmed.

7. Refunds & Cancellation

Subscription Cancellation

You may cancel your subscription at any time. Your account will remain active until the end of the current billing period. Fees paid for the current period are non-refundable.

Order Cancellation

Orders may be cancelled before a quotation is accepted. After acceptance, cancellation is subject to the agreement terms between parties and cancellation fees may apply.

Commission Refund

In case of cancellation of a completed transaction by mutual agreement, the commission may be partially or fully refunded at the Platform management's discretion.

Special Cases

In cases of force majeure or exceptional maritime circumstances (such as port closures or trade sanctions), each case will be handled individually.

8. Maritime Industry Terms

In addition to the general terms, the following maritime-specific terms apply:

  • All vessels registered on the Platform must have a valid IMO number and be registered with a recognized classification society
  • Suppliers must comply with all applicable local and international maritime regulations including SOLAS and MARPOL standards
  • All supply operations are subject to applicable customs and international trade regulations at the delivery port
  • The Platform is not liable for delays caused by weather conditions, port closures, or maritime restrictions
  • All products and services provided must comply with international maritime quality standards
  • All parties must comply with international sanctions lists and not deal with listed entities

9. Limitation of Liability

To the maximum extent permitted by law, Geomarine - Intelligence Solutions shall not be liable for:

  • Any direct, indirect, incidental, consequential, or special damages arising from use of the Platform
  • The quality, safety, or legality of goods or services provided by suppliers
  • Any disputes between ship owners and suppliers
  • Data loss or service interruption due to circumstances beyond our control
  • Any commercial losses, lost profits, or business opportunities
  • Consultations: Geomarine acts solely as a neutral facilitator (broker) connecting clients with independent experts. The experts are not employees or agents of Geomarine, the advice is theirs alone, and Geomarine accepts no liability for any advice, report, opinion or its consequences

In all cases, our total liability shall not exceed the fees paid by you during the twelve months preceding the date of the claim.

10. Intellectual Property

All content, trademarks, software, and designs on the Platform are the exclusive property of Geomarine - Intelligence Solutions or its licensors. You may not:

  • Copy, modify, or distribute any part of the Platform content
  • Use our trademarks without prior written permission
  • Reverse engineer any part of the Platform software

11. Termination

We may suspend or terminate your account in the following cases:

  • Violation of any of these Terms and Conditions
  • Providing false or misleading information
  • Fraudulent or illegal activities
  • Non-payment of fees or financial obligations
  • Repeated negative reviews or substantiated complaints

12. Governing Law

These terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with these terms shall be resolved through arbitration in accordance with the rules of the Dubai International Arbitration Centre.

13. Anti-Scraping & Data Protection

All Platform data is the exclusive property of Geomarine - Intelligence Solutions and is protected by intellectual property laws. The following activities are strictly prohibited:

  • Web Scraping: Using any bot, spider, crawler, or automated tool to extract or harvest data from the Platform
  • Using Platform data for training AI models or Large Language Models (LLMs)
  • Reselling, licensing, or distributing any data obtained from the Platform
  • Commercial use of supplier, vessel, port, or pricing listings without prior written authorization
  • Bypassing rate limits or technical protection measures
  • Impersonating real users or using fake accounts to collect data
  • Ignoring the directives in the Platform's robots.txt file

Legal Consequences

Violation of this section may result in:

  • Immediate IP and account banning
  • Legal action under intellectual property laws and applicable cybercrime laws (local and international)
  • Claims for commercial damages and bandwidth consumption costs
  • Reporting to law enforcement authorities in relevant jurisdictions

14. Copyright & DMCA

Geomarine - Intelligence Solutions respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and equivalent international copyright laws.

Reporting Copyright Infringement

If you believe that content on our Platform infringes your copyright, please send a notice including the following information:

  • Description of the copyrighted work you claim has been infringed
  • Exact URL of the infringing content on our Platform
  • Your contact information: full name, address, phone, email
  • Good faith statement that use of the content is not authorized by the copyright owner
  • Statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

Response Time: We process valid takedown notices within 7 business days.

False or misleading copyright claims may result in legal liability under applicable laws. Repeat infringers will have their accounts terminated.
